Selected projects

Acquiring a business out of insolvency, securing deliveries after a major fire, expanding a plant during ongoing operations or temporarily leading a company: the assignments and circumstances vary considerably.

The following examples show what we were asked to do, which questions had to be answered and which responsibilities we assumed, from commercial analysis and negotiation to operational implementation. We do not name our clients. We describe the work as specifically as confidentiality permits.

Turnaround, restructuring & M&A

Company acquisitions, insolvency transactions and financial crises require sound decisions, often under intense time pressure. We establish the commercial basis, conduct negotiations and support implementation.

Asset acquisition out of insolvency

A client commissioned the acquisition of a mid-sized meat-processing business from insolvency. The mandate covered bidding and negotiations with the insolvency administrator's team, due diligence, contractual structuring, the subsequent asset deal and integration into the buyer's organisation.

M&A transaction in the meat industry

Following its acquisition by an international investor, a German group planned to sell several divisions, including its meat-processing operations. We led the buyer-side M&A process and negotiations for the acquisition of a mid-sized company with annual revenue in the hundreds of millions of euros.

Analysis and sale of a software company

The shareholders of an established German company sought a merger, preferably with a major US partner. They needed specialist support that went beyond M&A skills to include a fundamental understanding of their business.

Restructuring a mid-sized company after a failed acquisition

A mid-sized manufacturer of ready meals for food retailers had entered a crisis and sought a turnaround adviser. The assignment was to analyse the problems, prepare an IDW S 6 restructuring concept and address the failed post-merger integration following acquisition by a European strategic investor.

Site and production projects

Expanding, relocating or reorganising production sites, often while day-to-day operations continue. We plan and manage these changes with capacity, schedules, operational processes and continuing delivery commitments in mind.

Closing a production site while meeting delivery commitments

The orderly closure of a production site required decisions amid demanding financial, legal and operational constraints. Existing customer commitments still had to be fulfilled, while economic value was to be preserved as far as possible. As part of the project leadership, Favoso played a major role in developing and implementing viable alternatives.

Relocating ongoing production

A mid-sized producer of vegan food needed to relocate production capacity at short notice because building regulations restricted continued operation at its existing site. The project had to protect delivery capability while examining microbiological and logistical requirements, planning costs and securing permits and certifications in time.

Project management after a major fire

A major fire forced the client to stop production at its main plant. The assignment was to lease and rapidly commission a temporary site so that deliveries could continue, while planning and implementing reconstruction and managing the related production relocations.

Expansion during ongoing operations

A contract sterilisation company needed to respond to rising demand while remaining competitive over the long term. Coordination between stakeholders was complex because priorities and requirements differed.

Analysis and business development

Which investments pay off? Where do costs arise, where is value created, and which structures should change? We analyse operational and commercial relationships and clarify the consequences of different decisions.

Analysis of a mid-sized producer of ready-to-eat frozen food

The client needed to modernise and optimise its processes to remain competitive. It was considering investments in facilities, infrastructure and technology and wanted a reliable assessment of the effects on operating costs and performance indicators.

Analysis of a mid-sized meat-products manufacturer

An established meat-products producer wanted to prepare for fundamental changes in its industry and remain competitive. It sought improvements in several areas, particularly portfolio profitability and the structure of its investments and partnerships.

Interim Management

Temporary entrepreneurial responsibility, whether in financial crises, when establishing new divisions or when reorganising operations. We assume executive duties under a clear mandate and with the authority required to deliver.

Crisis and interim COO management at a confectionery manufacturer

After failing an IFS audit, the company needed a fundamental reorganisation and a quality and process management system capable of certification. Management structures and earlier failings also needed correction to restore stable operations. An interim COO was sought for the task.

Interim CFO at a chip manufacturer

A global photographic-products group and a financial investor had acquired a significant interest in an optoelectronic chip manufacturer. The company remained loss-making and required an interim CFO to initiate corrective action.

Interim CEO at a German–American joint venture

A major provider of broadband and internet services planned to build a leading-edge data centre in Germany. It already operated numerous data centres and internet exchange points in the US and wanted to expand into continental Europe. It sought an experienced CEO to take overall responsibility and deliver the project within twelve months.

Founding and building businesses

We were founding businesses before 'start-up' became a buzzword.

The entrepreneurial experience we bring to Favoso predates the founding of the consultancy by many years. EUnet Deutschland (now Verizon) represents the establishment of commercial internet services in a market that was only just emerging. anwalt.de represents the development of a digital business model for legal services. In both cases, success required far more than implementing a technical idea: the business model, financing, organisation and market development had to come together.

We have also advised and supported numerous independent start-ups at different stages of development, including businesses that became significant market players and attracted international investors.
